Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the services provided by Grippy Code, Inc. ("Grippy Code", "we", "us"), including the AI Receptionist, websites, landing pages, and CRM (collectively, the "Services"). By purchasing or using the Services, you ("Client", "you") agree to these Terms.

1. The Services

Grippy Code provides software and done-for-you services for service businesses, including: (a) an AI voice receptionist that answers calls, qualifies callers, quotes prices you configure, and books appointments; (b) hand-built websites and landing pages; and (c) a CRM and dashboard. Specific features depend on the plan you purchase.

2. Accounts & eligibility

You must provide accurate information, keep your login secure, and be authorized to act for your business. You are responsible for all activity under your account. You must be a business; the Services are not intended for consumers.

3. Billing, plans & minutes

• Subscriptions are billed monthly (or annually if selected) in advance and renew automatically until cancelled.
• Each AI plan includes a set number of included minutes per billing period. Usage beyond included minutes is billed at your plan's per-minute overage rate, shown at checkout and in your dashboard.
• Included minutes do not roll over unless your plan explicitly states otherwise.
• Websites and landing pages are billed as a recurring monthly rental with no setup fee. Website rentals are subject to a 6-month minimum term, after which they continue month-to-month; cancellation is governed by our Refund Policy.
• Prices are exclusive of any applicable taxes (e.g., VAT), which are added where required by law.
• We may change pricing on renewal with at least 30 days' notice.

4. Cancellation

AI Receptionist and CRM subscriptions can be cancelled at any time from your dashboard or by emailing info@grippycode.com. Website rentals are subject to a 6-month minimum term; you may cancel anytime after that minimum term. Cancelling before the minimum term is complete incurs a one-time early-termination fee equal to 3 months of the plan. In all cases, cancellation stops future renewals; it does not retroactively refund the current period. See our Refund Policy for how the minimum term and refunds apply.

5. The AI — important limitations

The AI Receptionist is automated software. While we work hard to make it accurate, it can mishear, misunderstand, or make mistakes, and call quality depends on third-party networks and providers. You are responsible for reviewing captured leads and bookings. Grippy Code does not guarantee that every call will be answered, transcribed, quoted, or booked correctly, and is not liable for missed calls, lost leads, incorrect quotes, or missed bookings beyond the remedy described in Section 9.

6. Your content & intellectual property

• You retain ownership of your business content, customer data, prices, and brand assets you provide.
• You grant us a license to use that content solely to operate the Services for you.
• Grippy Code retains all rights to its platform, software, AI configuration, and templates.
• For website and landing-page rentals: while your website subscription is active, Grippy Code hosts the site and licenses its use to you for your business. The site, its code, design, frameworks, and reusable components remain the property of Grippy Code; your own content and brand assets remain yours, as described above. If you purchase a site outright through a separate Contact Sales arrangement, ownership terms are set in that separate agreement.

7. Acceptable use

You may not use the Services to break the law, place or facilitate spam/robocalls, harass, infringe others' rights, or resell the Services without our written consent. We may suspend accounts that abuse the Services or create risk for our telephony providers.

8. Third-party providers

The Services rely on third parties (e.g., voice/telephony, AI model, and payment providers). Their availability and terms are outside our control, and outages on their side may affect the Services.

9. Disclaimers & limitation of liability

The Services are provided "as is" without warranties of any kind. To the maximum extent permitted by law, Grippy Code's total liability for any claim arising out of or relating to the Services is limited to the amount you paid us in the three (3) months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business.

10. Term & suspension

These Terms apply while you use the Services. We may suspend or terminate access for non-payment, breach of these Terms, or legal/risk reasons.

11. Changes

We may update these Terms. Material changes will be communicated by email or in-app. Continued use after changes means you accept them.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Grippy Code, Inc. is established, without regard to conflict-of-laws rules. [Specify governing state/country and venue.]
